These terms and conditions of sale are concluded on the one hand by the company SCAV Les Côteaux de Pierrevert, with a variable share capital of €209,746, whose registered office is located in Pierrevert, registered with the Manosque Trade and Companies Register under number 782 408 926 00015, hereinafter referred to as "La Cave des Vignerons de Pierrevert" and managing the petra-viridis.com website, and on the other hand, by any natural or legal person wishing to make a purchase via the petra-viridis.com website, hereinafter referred to as "the buyer".

Article 1 – Enforceability of the general terms and conditions of sale

Article 3 – Prices

We reserve the right to suspend, delay or modify the execution of orders in cases of force majeure, as defined in case law, as well as in cases of specific events making execution impossible, such as material shortages, strikes of any kind, climatic accidents, floods, frost, fire, epidemics, blocked communication routes, machine breakdowns, lack of motive power, etc., or unusually high orders compared to usual volumes.

In the case of delivery on pallets or any other reusable supports belonging to us, these must be returned immediately or exchanged.
Confirmation of an order implies acceptance of these terms and conditions of sale, acknowledgment of having perfect knowledge of them and waiver of the right to rely on one's own terms of purchase. All data provided and the registered confirmation will constitute proof of the transaction. If the buyer has an email address and has provided it on their order form, the company La Cave des Vignerons de Pierrevert will send them an email confirming the registration of their order.

Article 5 – Transport and delivery conditions

Deliveries are made to the address indicated on the purchase order, which can only be within the agreed geographical area. Deliveries are made by our carrier, with tracking and signature upon delivery. Delivery times are given for information only. The buyer is delivered to their home by the carrier provided that the buyer is present and that the address given is existing and accessible. In case of the buyer's absence, delivery will be postponed, an appointment with the carrier will have to be rescheduled and additional costs may be incurred. The risks associated with transport are borne by the purchaser from the moment the items leave the premises of the company La Cave des Vignerons de Pierrevert. The buyer is required to check, in the presence of the delivery person, the condition of the packaging of the goods and their contents upon delivery. In case of disputes (breakage, missing items or others), the customer will immediately make the necessary reservations in the presence of the delivery person and confirm these reservations to us by registered mail within 48 hours. After this period, and if these formalities have not been respected, the delivery will be deemed compliant and no claim or return can be validly accepted by the seller.
The delivery period is within one month following receipt of the order. Any stipulated shorter or longer period must be subject to express agreement from our company. Upon expiration of this formal request remaining without effect, the order will be canceled and any deposits paid will be refunded.

Article 6 – Storage and Consignment

Wine is a biologically living product that evolves over time. Our customers undertake to strictly observe the storage and preservation conditions for products in accordance with current regulations. We cannot be held responsible for any non-observance of these requirements by our customers. Unless otherwise agreed in writing, no goods will be taken back. In the event of a return, the customer bears the risks. Consigned packaging remains our property. All consignments are subject to payment by the customer. They must be settled at the same time as the goods. The amount of the consignment does not constitute a sale price but a security deposit.

Article 7 – Payment Conditions

Invoiced deliveries are payable in cash. However, invoices issued to customers with open accounts are payable within forty-five (45) days end of month or sixty (60) net days from the invoice issue date, for all contracts concluded from January 1, 2009, in accordance with Article L.441-6 paragraph 9 of the Economic Modernization Law, known as the LME Law (Law No. 2008-776) of August 4, 2008.

No discount will be granted. No extension of maturity can be granted without our prior and express consent. In case of delay or total or partial default of payment of an invoice, the amounts due will be increased by: Late payment interest due from the day following the scheduled payment date, based on 1.5 times the legal interest rate, in accordance with Article L. 442-6 of the New Commercial Code. An indemnity, as damages, equal to 15% of the sums due and unpaid, in addition to legal costs and indemnities that may be awarded under Article 700 of the N.C.P.C.

In accordance with Article L441-6 and the new legislation (law of March 22, 2012) concerning late payment penalties; in case of payment after the due date indicated on the invoice, the flat-rate penalty defined within the framework of said law, amounting to 40 euros, will be mandatorily applied, regardless of the invoice amount.

Article 8 – Retention of Title Clause

It is expressly agreed that we reserve ownership of the goods delivered until full payment of their price. Payment will be deemed made on the date on which the funds are made available to the company by the customer (Article 441-3 of the New Commercial Code)

In this regard, the delivery of any instrument creating an obligation to pay does not constitute payment within the meaning of this clause. The buyer is authorized, within the framework of their normal operation and unless they are in a state of cessation of payments, to resell the delivered goods provided that they pay the corresponding sums to the seller. However, they may not pledge them or transfer ownership as security. In the event of seizure or any other intervention by a third party, the buyer is obliged to notify us without delay. Within the framework of the application of this clause, the buyer will bear the risk of loss or destruction upon delivery of the goods.

Article 9 – Dispute Resolution

These distance selling conditions are subject to French law. All disputes and disagreements arising from the application of these general terms and conditions of sale shall fall within the jurisdiction of the Commercial Court of Manosque, even in the event of a guarantee claim or multiple defendants. However, we reserve the right to bring the case before the court of the buyer's domicile. It is expressly agreed that these general terms and conditions of sale shall apply notwithstanding any other contrary clauses or agreements that may exist within the framework of contractual relations maintained with our customers.

Article 10 – Liability

Its liability cannot be engaged for damages resulting from the use of the Internet network such as data loss, intrusion, viruses, service interruption, or other involuntary problems.
